Terms of Service

Last updated: May 4, 2025

Welcome to Wavdock. By accessing or using Wavdock ("Service," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.

1. About the Service

Wavdock is a cloud-based platform for music professionals. The Service allows you to upload audio files, organize them into folders and playlists, analyze tracks using AI for attributes like BPM, key, genre, mood, and more, search and discover music across your catalog, collaborate with team members through organizations, and share tracks via secure links.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use Wavdock. By registering, you confirm that your registration information is accurate and that you will keep it up to date.

3. Accounts

You need to create an account to use Wavdock. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. If you suspect unauthorized access, notify us immediately.

Wavdock supports both personal accounts and organization accounts for teams. Organization administrators manage access for their team members. If you are using Wavdock through an organization, the organization's administrator may have additional control over your use of the Service.

4. Your Content

4.1 Ownership

You retain full ownership of all audio files, metadata, and other content you upload to Wavdock ("Your Content"). We do not claim any ownership rights over Your Content.

4.2 License to Us

By uploading content to Wavdock, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, back up, transmit, and process Your Content solely to provide and operate the Service. This includes analyzing your audio files using AI to generate metadata such as BPM, key, genre, mood, instruments, and other attributes. This license terminates when you delete Your Content or your account.

4.3 Content Rights & Representations

By uploading audio or any other content to Wavdock, you represent and warrant that:

  • You own or have obtained all necessary rights, licenses, consents, and permissions to upload, store, and analyze the content.
  • Your content does not infringe, violate, or misappropriate any third-party intellectual property rights, including copyrights, trademarks, trade secrets, or rights of publicity or privacy.
  • If the content contains performances, vocals, or contributions by others, you have secured the necessary authorizations from those individuals.
  • Your use of the Service complies with all applicable laws and regulations.

Wavdock is a tool for managing and analyzing music you have the right to use. It is not a distribution or publishing platform. You are solely responsible for ensuring you have proper authorization for all content you upload.

4.4 AI Analysis

Audio you upload is processed by our AI analysis pipeline to extract metadata and attributes. Your audio is not used to train any AI or machine learning models. Analysis results (BPM, key, genres, moods, etc.) are stored in your account and are not shared with third parties.

4.5 AI Chat Assistant

Wavdock includes an AI-powered chat assistant that helps you search, filter, and discover music in your catalog. The assistant can recommend tracks, create playlists, generate share links, and search the web on your behalf. Chat conversations are stored in your account and scoped to your individual user, even within an organization.

The AI assistant provides suggestions and recommendations for informational purposes only. It does not constitute professional advice regarding music licensing, publishing, or legal matters.

5. Prohibited Uses

You agree not to:

  • Upload content you do not own or lack the necessary rights to use, including unauthorized copies of copyrighted music, stems, samples, or vocals.
  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to reverse-engineer, decompile, or extract our analysis algorithms, AI models, or source code.
  • Use automated tools (bots, scrapers) to access the Service without our prior written consent.
  • Upload content containing malware, harmful code, or any material that is illegal, threatening, abusive, or harassing.
  • Share your account credentials or resell access to the Service.
  • Circumvent or interfere with security features of the Service.
  • Upload content for the purpose of infringing on the intellectual property rights of any third party.

6. Sharing & Public Links

Wavdock allows you to create share links for tracks, folders, and playlists. Share links are accessible to anyone with the link — recipients do not need a Wavdock account. You can control whether recipients can download the audio and set links to expire. You are responsible for the content you share and with whom you share it.

7. Organizations & Teams

If you create or join an organization, all catalog content (tracks, folders, playlists, contacts, credits) uploaded within that organization is shared across all organization members. However, chat conversations remain private to each individual user. Organization administrators are responsible for managing team access and ensuring all members comply with these Terms.

8. Subscription & Billing

Wavdock offers a free trial period and paid subscription plans. Plan details, pricing, and track limits are available on our pricing page. By subscribing to a paid plan, you agree to pay the applicable fees. Subscriptions renew automatically unless cancelled before the end of the billing cycle. Upgrades are prorated; downgrades take effect at the end of the current billing period.

9. Intellectual Property

The Wavdock platform, including its software, AI models, algorithms, user interface, trademarks, logos, and documentation, is owned by Wavdock and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

10. Copyright Infringement (DMCA)

We respect intellectual property rights. If you believe content on the Service infringes your copyright, please contact us at contact@wavdock.com with: (a) identification of the copyrighted work; (b) identification of the infringing material; (c) your contact information; (d) a statement of good faith belief that the use is unauthorized; and (e) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner.

We reserve the right to remove content that we believe infringes third-party rights and to suspend or terminate accounts of repeat infringers.

11. Disclaimers

The Service is provided on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding the Service, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

AI-generated analysis results, tags, descriptions, and recommendations are produced by automated systems and are provided for informational purposes only. We do not guarantee the accuracy, completeness, or reliability of AI-generated outputs. They do not constitute professional audio engineering, music production, or legal advice.

12. Limitation of Liability

To the fullest extent permitted by law, Wavdock shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, profits, business, reputation, or expected savings, arising out of or in connection with your use of the Service.

Our total aggregate liability to you for any claim arising from or related to the Service shall not exceed the total amount you have paid us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Wavdock and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) Your Content.

14. Termination

You may delete your account at any time. We reserve the right to suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes, but will delete your audio files and personal content in accordance with our Privacy Policy.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes via email or a notice on the platform at least 30 days before they take effect. Continued use of Wavdock after changes constitutes acceptance of the updated Terms.

16. General

These Terms constitute the entire agreement between you and Wavdock regarding the Service. If any provision is found to be unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right does not constitute a waiver of that right. You may not assign or transfer your rights under these Terms without our prior written consent.

17. Contact

If you have questions about these Terms, contact us at contact@wavdock.com.
